1. Agreement to Terms
Welcome to The Egg Company (egg.co). These Terms of Service ("Terms") govern your use of our website and the supply of goods ("Products") by The Egg Company to you ("Customer").
By placing an order with us or using our website, you agree to be bound by these Terms. If you are placing an order on behalf of a business (e.g., a café or restaurant), you represent that you have the authority to bind that entity to these Terms.
2. Wholesale Supply & Accounts
The Egg Company primarily operates as a wholesale supplier to the foodservice industry.
- Account Approval: New wholesale accounts are subject to approval. We reserve the right to request trade references or credit checks before opening a credit account.
- Minimum Orders: Minimum order quantities (MOQ) may apply depending on your delivery location. These will be communicated to you upon account setup.
3. Orders and Delivery
We strive for punctuality and reliability, but the following conditions apply to all deliveries:
- Cut-off Times: Orders must be placed before our designated cut-off times to ensure next-scheduled-day delivery. Late orders may be moved to the following delivery run.
- Delivery Access: It is the Customer's responsibility to ensure safe and clear access for our drivers. If delivery cannot be made due to access issues, a re-delivery fee may apply.
- Unattended Deliveries: If you authorize us to leave goods unattended (e.g., at a back door before opening hours), the risk passes to you immediately upon delivery. We are not liable for theft or spoilage after the goods have been delivered to your premises.
4. Pricing and Payment
Prices for fresh produce can fluctuate based on market conditions.
- Pricing: Prices are subject to change without prior notice, though we endeavor to inform regular customers of significant changes.
- Payment Terms: For credit account holders, payment is strictly due within the agreed terms (e.g., 7 days, 14 days, or 30 days from invoice).
- Late Payment: We reserve the right to suspend supply if an account is overdue. Interest or collection fees may be charged on overdue amounts.
5. Inspection, Returns, and Credits
Due to the perishable nature of our Products (eggs and liquid egg products), strict timeframes apply to claims.
- Inspection: You must inspect all Products upon delivery.
- Reporting Issues: Any shortages, breakages, or quality issues must be reported to us within 24 hours of delivery.
- Credits: Credits for damaged or faulty stock will only be issued if notified within this timeframe. We may request photos of the damaged stock or ask to collect it for inspection.
6. Risk and Title
- Risk: Risk of loss or damage to the Products passes to you upon delivery.
- Title: Title (ownership) of the Products remains with The Egg Company until full payment has been received.
7. Limitation of Liability
To the extent permitted by Australian Consumer Law:
- Our liability for any defect in goods is limited to replacing the goods or refunding the cost of the goods.
- We are not liable for any indirect, special, or consequential loss (such as loss of profits or business interruption) arising from the supply or failure to supply goods.
8. Governing Law
These Terms are governed by the laws of Victoria, Australia. Any disputes arising under these Terms are subject to the exclusive jurisdiction of the courts of Victoria.
